The channel provided for this is good corporate governance –hence the focus on certain capital companies, listed public limited companies– and corporate social responsibility. By virtue of this, the issues addressed are: On the one hand, on the rules governing codes of good corporate governance, their principle of “comply or explain”, devoting special attention to the appointment and composition of boards of directors based on the criterion of diversity, the study of which requires the analysis of the different categories of directors; on the other hand, on the so-called sustainability reports. This has consequences, which are drawn out in the form of reflections throughout this article.El estudio trata de exponer cómo la legislación mercantil se está viendo afectada por el Derecho Social, en general, a través de la implantación de la triple dimensión del desarrollo sostenible: económica, social y medioambiental y, en particular, mediante la garantía de los principios de igualdad y no discriminación entre hombres y mujeres. El cauce arbitrado para ello es el buen gobierno corporativo –de aquí, que se focalice en determinadas sociedades de capital, las sociedades anónimas cotizadas– y la responsabilidad social corporativa. En su virtud, las cuestiones que se abordan versan: De una parte, sobre las normas que regulan los códigos de buen gobierno corporativo, su principio de “cumplir o explicar”, dedicando una especial atención al nombramiento y composición de los consejos de administración basados en el criterio de la diversidad, cuyo estudio requiere el análisis de las distintas categorías de consejeros; de otra parte, sobre los denominados informes de sostenibilidad.
