Summary: This article gives an overview to the drafting of Civil Code of People’s Republic of China. It is composed of four part. The first part very briefly introduces the history of China’ Legislation of private law from the beginning of 20th century. The second part illustrates the reason why China tries to codify its rules of private law. The third part is the core of this article, which focus on the contents and revisions of the second draft of civil code. The last part gives some of the most important criticism both to the drafting process and the draft itself.
