The present study presents its readers with legal tools to organize and give structure to the family business; assign decision-making powers to the directors of the family business, create a system to measure results and implement incentives for the director’s performance results. Furthermore, the study recommends the creation of a succession plan to implement within the business in order to help with the generational transition.Las empresas familiares cuentan con una dinámica de gobierno corporativo muy peculiar, lo que las ha hecho objeto de estudio en los años recientes. La particularidad en la interacción y relación entre los miembros que integran la empresa ocasiona que sea necesario la implementación de herramientas legales para alcanzar buenas prácticas empresariales. El presente trabajo tendrá como fin, presentar al lector con herramientas legales que den orden y estructura a la organización; crear un sistema que asigne derechos de decisión a los directivos de la empresa, instituir un sistema de medición de resultados e implementar un sistema de incentivos para que los directivos alcancen sus metas.
