Laburpena: Colombian corporate law has revealed the need for the introduction of regulatory alternatives to prescribe exit opportunities in close corporations when controlling owners act opportunistically to expropriate benefits of minority shareholders. This necessity stems from the abuse of majority voting rights figure contemplated by the Law 1258 in 2008, which cannot be extended to protect noncontrolling owners of all conducts made by majority shareholders. Therefore, this article proposes that implementing the buy-out remedy in minority shareholder oppression cases provides a legal strategy to mitigate agency problems related with majority and minority shareholders, and increase protection to noncontrolling owners. This is explained through the examination of oppression remedies in Anglo-Saxon corporate law and its counterpart in Colombia.
