Summary: Legal doctrine and jurisprudence presuppose that the tortious liability attributed to company directors when committing a criminal offence of improper management has to be governed by the norms regulating non-contractual liability in the Penal Code (Article 109 and subsequent articles). By contrast, this article aims to demonstrate that liability ex delicto is, in these cases, a wholly contractual (or corporate) liability and, consequently, has to be governed –in terms of premises, exercise, abdication and prescription– by the so-called “corporate action” to demand liability, which regime is foreseen in the Corporate Enterprises Act (Article 236 and subsequent articles).
