Director and manager liability is one of the elements that the Corporate Law Reform Project, presented to the Colombian Congress, intended to modify. Bill Number 70/2015 (Chamber of Representatives) planned to import the American business judgment rule. This rule would introduce a more lenient standard of liability for directors and a doctrine of judicial deference towards business decisions, insofar as certain conditions are met. This article explains the rule’s origin, evolution, scope, shortcomings and justifications in the United States, its country of origin. Furthermore, the article analyses if transplanting the rule to the Colombian context is justified, and sets forth suggestions that might allow for a successful importation

Particularmente, o Projeto de Lei 70 de 2015 (Câmara) propunha introduzir a business judgment rule, de origem estadunidense. Esta regra estabeleceria padrões de responsabilidade mais laxos para os administradores sociais e proibiria os juízes de revisar suas decisões empresariais, sempre e quando se cumprissem determinadas condições. Neste artigo explico a evolução histórica, o alcance, os debates e as justificações que têm rodeado a business judgment rule nos Estados Unidos, seu país de origem. Adicionalmente, analiso se se justifica sua importação ao contexto colombiano e formulo propostas para um transplante mais bem-sucedido.El régimen de responsabilidad de administradores es uno de los aspectos que se pretendían modificar en el proyecto de reforma societaria que cursaba en el Congreso colombiano. Particularmente, el Proyecto de Ley 70 de 2015 (Cámara) proponía introducir la business judgment rule, de origen estadounidense. Esta regla establecería estándares de responsabilidad más laxos para los administradores sociales y prohibiría a los jueces revisar sus decisiones empresariales, siempre y cuando se cumplieran determinadas condiciones. En este artículo explico la evolución histórica, el alcance, los debates y las justificaciones que han rodeado a la business judgment rule en Estados Unidos, su país de origen.
