This thesis makes a comparative analysis of the Guatemalan legal system and the General Corporation Law of the State of Delaware of the United States of America regarding the direction and management of Companies and the fiduciary duties of Corporate Governance that the directors should have, with the objective to develop the operation of Guatemalan Companies and the Companies regulated under the General Corporation Law of the State of Delaware of the United States of America and their incorporation of fiduciary duty of Corporate Governance of care and loyalty, to make a direct comparison between those duties and obtain the advantages, disadvantages, similarities, differences and management functionality in their respective legal systems. Furthermore, regarding the operation and implementation of the General Corporation Law of the State of Delaware of the United States of America and the duties of care and loyalty, several remarkable rulings of the Delaware Supreme Court are analyzed to determine their reach scope and practical implications.
After analyzing each legal system and the direct comparison between them, the main objective is to make a proposal, with its corresponding features, to include the fiduciary duties of care and loyalty of corporate governance and the relevant respects into the Guatemalan legal system, in order to strengthen the responsibility of the directors acts against the Company, shareholders and other third parties for acts done in bad faith, negligence or for being contrary to the purposes and objectives of the Company.

After analyzing each legal system and the direct comparison between them, the main objective is to make a proposal, with its corresponding features, to include the fiduciary duties of care and loyalty of corporate governance and the relevant respects into the Guatemalan legal system, in order to strengthen the responsibility of the directors acts against the Company, shareholders and other third parties for acts done in bad faith, negligence or for being contrary to the purposes and objectives of the Company.El presente trabajo de tesis realiza un análisis comparativo del ordenamiento jurídico guatemalteco y de la Ley General de Corporaciones del Estado de Delaware de los Estados Unidos de América, en relación a la administración de las sociedades mercantiles y los deberes fiduciarios de gobierno corporativos que deben de tener en cuenta los administradores, con el objetivo de lograr desarrollar el funcionamiento de las sociedades mercantiles guatemaltecas en la actualidad y de las sociedades mercantiles reguladas bajo la Ley General de Corporaciones del Estado de Delaware de los Estados Unidos de América y su incorporación de los deberes fiduciarios de gobierno corporativo de cuidado y de lealtad, para realizar un comparación directa entre los mismos y poder obtener como resultados las distintas ventajas, desventajas, similitudes, diferencias y funcionalidad de la administración en sus respectivos ordenamientos jurídicos. Así también, en relación al funcionamiento y la aplicación de Ley General de Corporaciones del Estado de Delaware de los Estados Unidos de América y de los deberes de cuidado y de lealtad, se analizan varios fallos notables de la Corte Suprema de Delaware para lograr determinar su alcance y sus implicaciones en la práctica.
