So in this work is done a count on the origin and main characteristics of this doctrine and its application in Colombia.La separación de patrimonios y responsabilidades entre los socios y la sociedad surge como consecuencia de la adquisición de la personalidad jurídica por parte de la sociedad. Cuando los socios utilizan la estructura societaria para cumplir un objetivo ajeno al de la sociedad defraudando a la ley o a terceros, se aplica la doctrina de la desestimación de la personalidad jurídica, por medio de la cual las autoridades judiciales pueden prescindir de la separación de patrimonios y de responsabilidades, para que sean los socios quienes respondan por las obligaciones de la sociedad cuando han abusado de la estructura societaria.
